1. Acceptance of Terms
By accessing or hiring OverArc, you agree to these Terms. If you disagree, please do not use our services.
1.1 By Using Our Services
By accessing or using OverArc's services ("Services"), including:
- SMS Lead Recovery Engine setup
- n8n automation workflows
- Twilio phone/SMS setup
- CRM integrations
- Website consultation
- Discovery calls
You agree to be bound by these Terms of Service ("Terms").
1.2 If You Don't Agree
If you do not agree to these Terms, do not use our services.
1.3 Who These Terms Apply To
These Terms apply to:
- You ("Client," "Customer," "User") – anyone using our services
- Us ("OverArc," "We," "Our") – OverArc, owned by Shabir Ahmad
2. Description of Services
We build SMS lead recovery workflows, n8n automation workflows, and Twilio phone integrations. We are not responsible for third-party outages or API changes.
2.1 What We Provide
OverArc provides:
- SMS Lead Recovery Engine Development
- 24/7 missed call SMS auto-response setup
- Lead qualification and recovery workflows
- Appointment booking automation via SMS (Cal.com integration)
- SMS follow-up workflows
- n8n Automation Workflows
- Custom workflow design and logic build
- Third-party integrations (Twilio, Google Sheets, CRM)
- Lead capture and routing rules
- Automated notifications
- Phone System Setup
- Twilio number and compliance configuration
- Webhook integration
- Call routing logic
- SMS automation
- Consultation & Support
- Discovery calls (15 minutes, free)
- System audits
- Technical support (monthly)
- Maintenance updates
2.2 What We DO NOT Provide
We are NOT responsible for:
- Phone carrier issues or network routing errors (Twilio backbone)
- Internet connectivity problems
- Your existing software bugs (CRM, calendar)
- Third-party API changes (outside our control)
- Legal compliance of your business (your responsibility)
- Marketing campaign performance (lead generation)
3. Client Responsibilities
You must provide accurate info, grant system access (Twilio, Google, CRM), respond within 48 hours, and pay fees as agreed.
3.1 You Must Provide
To use our services, you agree to:
- Accurate Information: Provide correct contact, business, and technical details
- Access: Grant necessary access to:
- Twilio account (for phone/SMS setup)
- Google account (for Sheets, Calendar, AI)
- CRM account (if integration needed, e.g. GoHighLevel)
- Website (if landing page/widget changes are required)
- Timely Feedback: Respond to questions and review requests within 48 hours
- Testing: Test deployed systems and report issues
- Payment: Pay fees as agreed (see Section 5)
3.2 You Must Not
- Unauthorized Access: Try to access systems you don't have permission for
- Malicious Use: Use our services for illegal activities or spamming
- API Abuse: Exceed third-party API limits (Twilio, Google)
- Reverse Engineering: Try to extract our workflow logic for resale
- Impersonation: Claim you built the system yourself (we retain IP)
4. Service Delivery & Timelines
4.1 Standard Delivery Time

4.2 What Affects Timeline
Delivery may be delayed if:
- You provide information/access late
- Third-party APIs change (Twilio, Google)
- You request scope changes mid-project
- Technical issues on your side (CRM, website)
- Holidays/weekends (our standard working hours are Mon–Fri)
4.3 Delays Not Our Fault
We are NOT responsible for delays caused by:
- Your team's availability
- Third-party service outages
- Internet/connectivity issues
- Government restrictions or public holidays
5. Pricing & Payment
5.1 Our Pricing Packages

5.2 Payment Terms
Setup Fee:
- 50% upfront: 50% of the setup fee upfront before work begins (e.g., $125 for Founding, $375 for Standard)
- 50% on delivery: 50% of the setup fee on delivery after testing is complete (e.g., $125 for Founding, $375 for Standard)
Monthly Fee:
- Paid first month upfront before deployment
- Subsequent months: billed on the 1st of each month
- Auto-renews unless canceled (see Section 9)
5.3 Payment Methods
We accept:
- Stripe (credit card, online)
- Payoneer
- Bank Transfer (for large amounts, contact us)
5.4 Late Payments
- Grace Period: 7 days after billing date
- After 7 Days: $50 late fee
- After 14 Days: Service paused
- After 30 Days: Service terminated, data archived
5.5 Price Changes
- Monthly fees: May increase by max 10% per year (we notify 30 days before)
- Setup fees: Fixed at project start (no changes)
- New clients: May receive different pricing (promotions)
6. Intellectual Property
OverArc owns the n8n workflow logic and configuration. You own all lead records, CRM data, and Twilio phone numbers.
6.1 What We Own
OverArc retains ownership of:
- n8n workflow designs (our proprietary logic)
- AI response rules & templates (our conversation flows)
- Code snippets (our custom scripts)
- System architecture (our design patterns)
- Branding (OverArc logo, website)
6.2 What You Own
You own:
- All data (leads, calls, SMS history, appointments)
- Twilio phone number (if you purchase it)
- CRM records (your customer information)
- Google Sheets/Calendar (your business data)
- Website content (your text, images)
6.3 License to You
We grant you a non-exclusive, perpetual license to:
- Use our workflows for your business
- Modify workflows for your needs
- Access your data at any time
You CANNOT:
- Resell our workflows to others
- Claim you built the system (unless customized uniquely)
- Remove our branding from documentation
7. Confidentiality
Both parties agree to protect and keep all shared business systems, workflow designs, customer data, and pricing structures confidential.
7.1 What We Keep Confidential
We will NOT disclose:
- Your business strategies
- Your customer data
- Your revenue figures
- Your technical systems
- Your pricing (unless you agree to testimonial)
7.2 What You Keep Confidential
You will NOT disclose:
- Our workflow logic (n8n architecture)
- Our AI configuration rules
- Our internal pricing (unless public)
- Our proprietary code
7.3 Exceptions
Confidentiality does NOT apply if:
- Information is publicly available
- Required by law (court order)
- You give written permission
- Third party already knows it
8. Warranties & Disclaimers
8.1 What We Warranty
We guarantee:
- Functionality: Workflows will work as described
- Quality: Professional development standards
- Support: 30 days bug fixes after delivery
- Availability: Monthly monitoring included
8.2 What We DO NOT Warranty
We DO NOT guarantee:
- 100% uptime (third-party services may fail)
- Specific ROI (we show estimates, not promises)
- Lead conversion rates (your sales process affects this)
- No bugs forever (APIs change, updates needed)
- Perfect AI interpretations (AI may occasionally misinterpret nuance)
8.3 "As Is" Basis
Our services are provided "as is" without warranties of any kind, express or implied, including:
- No guarantee of uninterrupted service
- No guarantee of error-free operation
- No guarantee of specific results
9. Cancellation & Termination
9.1 How to Cancel
You Can Cancel:
- Email: shabir@overarc.co
- Notice: 30 days before next billing date
- No penalty for cancellation
We Can Cancel:
- Non-payment after 30 days
- Violation of Terms (Section 3)
- Illegal use of services
- Third-party ban (Twilio cuts us off)
9.2 What Happens After Cancellation
Your Data:
- Archived for 30 days (for recovery)
- After 30 days: permanently deleted
- You can request export before deletion
Monthly Fee:
- No refund for current month
- No future charges
Setup Fee:
- No refund (work already completed)
Access:
- Twilio: You keep your number (if you own it)
- Google: You retain Sheets/Calendar access
- CRM: You retain all records
9.3 Suspension
We may suspend service if:
- Payment overdue (7+ days)
- Violation of Terms detected
- Security threat identified
Reactivation:
- Pay overdue amount + $50 fee
- Resolve violation
- Service restored within 24 hours
10. Liability & Damages
10.1 Our Liability Limit
Our total liability to you is limited to the lesser of:
- Setup fee amount you paid (max $750)
- OR 3 months of monthly fees (max $450)
Example: If you paid $250 setup + $150/month, our max liability = $250.
10.2 What We're NOT Responsible For
We are NOT liable for:
- Lost revenue (missed calls, slow sales)
- Lost data (third-party service failures)
- Business interruption (internet outages)
- Third-party issues (Twilio, Google, CRM bugs)
- Customer complaints (your sales process)
- Indirect damages (reputation, etc.)
10.3 Your Responsibility
You agree that:
- Using our services is at your own risk
- You test systems before full deployment
- You monitor for issues proactively
- You have backup plans for critical operations
11. Third-Party Services
You are subject to third-party terms (Twilio, Google, Stripe) and must handle their usage limits and billing directly.
11.1 Services We Use
Our workflows integrate with:
- Twilio (phone/SMS): https://www.twilio.com

- GoHighLevel (CRM): https://www.gohighlevel.com
- Cal.com (booking): https://cal.com
- Stripe (payments): https://stripe.com
- Railway (hosting): https://railway.app
11.2 Their Terms Apply
You are also subject to third-party terms:
- Read their privacy policies
- Comply with their usage limits
- Handle their billing directly
11.3 We're NOT Responsible For
- Third-party service outages
- Third-party price changes
- Third-party data breaches
- Third-party term violations
12. Dispute Resolution
We attempt to resolve disputes via email first, then virtual mediation, and finally United States courts.
12.1 First: Try to Resolve
If you have a problem:

- Explain issue: Detailed description of the error/concern
- We respond: Within 48 hours
- We fix: Bug fixes within 7 days
12.2 If Unresolved: Mediation
If we can't resolve:
- Mediator: Neutral third party (online)
- Cost: Split 50/50
- Location: Virtual (Zoom)
12.3 If Still Unresolved: Legal Action
- Court: State and federal courts located in the United States
- Law: Laws of the United States
- Language: English
We prefer to avoid disputes – we will work with you proactively to find a solution.
13. Governing Law
These terms and all deliverables are governed by the laws of the United States.
13.1 Jurisdiction
These Terms are governed by:
- Primary: Laws of the United States
13.2 No Legal Waiver
Failure to enforce a term does NOT mean we waive it.
14. Modifications to Terms
We can revise these terms. Continued use of services after an update implies acceptance.
14.1 We May Update These Terms
- Periodic revisions
- Post updated version on website
- Update "Last Updated" date
14.2 Your Continued Use = Acceptance
If you continue using our services after changes are posted, you agree to the updated Terms.
14.3 Major Changes
For significant changes, we notify:
- Email (if we have your contact)
- Website notice (30 days before)
15. Force Majeure
We are not liable for service delays or failures due to natural disasters, global internet outages, or government actions.
15.1 What Is Force Majeure
We are NOT liable for delays/failures caused by:
- Natural disasters (earthquake, flood, storm)
- Government actions (closures, restrictions)
- Internet outages (global or server hosting provider failures)
- Third-party strikes or network outages
- War, terrorism, or pandemics
15.2 What We'll Do
If force majeure occurs:
- Notify you promptly
- Work to resume service
- Extend timelines reasonably
16. Independent Contractor
OverArc acts as an independent contractor, not an employee, partner, or legal agent of your business.
16.1 We Are NOT Your Employee
OverArc is an independent contractor:
- You don't control our work methods
- We set our own hours
- We are responsible for our own taxes
- No employment benefits are provided
16.2 You Are NOT Our Employee
You are a client, not our employee:
- No salary from us
- No benefits from us
- No ownership in our company
17. Entire Agreement
These Terms together with our Privacy Policy form the complete and entire agreement between you and OverArc.
17.1 These Terms + Privacy Policy
These Terms, together with our Privacy Policy, constitute the entire agreement between you and OverArc.
17.2 Supersedes Previous Agreements
These Terms replace all prior communications, proposals, or agreements (email, verbal, or otherwise).

- You accept intellectual property terms (Section 6)
- You accept the dispute resolution process (Section 12)
